Panybox Terms of Service

Welcome to Panybox (“Panybox,” “we,” “our,” “us”). These Terms of Service (“Terms”) govern your use of the Panybox platform located at www.panybox.com and all associated subdomains (collectively, the “Platform”). By accessing, browsing, creating an account, or using any part of the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
1. About Panybox
Panybox is a multi-vendor marketplace infrastructure that enables independent sellers (“Sellers”) to operate online storefronts on subdomains of panybox.com, list products, and manage their own payments, shipping, and customer service directly.
- Panybox is not the seller of goods or services listed by Sellers.
- Transactions occur directly between Sellers and buyers (“Buyers”).
- Panybox provides technology, hosting, and optional integrations only.
2. Ownership of Platform, Software, Domains, Subdomains & Data
All rights, title, and interest in and to the Platform—including without limitation the software, source code, object code, user interface, design, databases, documentation, APIs, SDKs, trademarks, the panybox.com domain, all Panybox-controlled subdomains, and all improvements, updates, and derivatives—are and shall remain the exclusive property of Panybox.
Platform Data & Traffic. All data generated by, through, or from the operation or use of the Platform—including usage data, telemetry, logs, analytics, performance metrics, security events, and web traffic (collectively, “Platform Data”)—is the exclusive property of Panybox. Panybox is not obliged or obligated to provide, export, sell, license, disclose, or otherwise make Platform Data available to any Buyer, Seller, or third party, whether or not they use the Platform, except as required by law or expressly stated in these Terms or our Privacy Policy.
Seller Content. Sellers retain ownership of their store content (e.g., logos, product descriptions, images). Sellers grant Panybox a worldwide, non-exclusive, royalty-free license to host, reproduce, display, perform, and use such content as necessary to operate, promote, and improve the Platform and to comply with legal obligations. Panybox may aggregate and anonymize data for benchmarking and analytics; aggregated/anonymized data shall be Panybox property.
Subdomains. Any subdomain under panybox.com is allocated for operational convenience only and may be reclaimed, renamed, suspended, or reassigned by Panybox at any time in its sole discretion.
3. Eligibility
- You are at least 18 years old (or the age of majority in your jurisdiction) and have legal capacity to contract.
- You will comply with all applicable laws and regulations (including consumer protection, privacy, tax, export, and sanctions laws).
4. Accounts & Registration
- Users may register as Buyers or Sellers. You are responsible for safeguarding your credentials and for all activities under your account.
- You agree not to impersonate any person or misrepresent your identity.
- Panybox may require identity verification (KYC) or additional documentation at any time; failure to comply may lead to suspension.
5. Role of Panybox
- Panybox provides subdomain-based storefronts and optional technical integrations.
- Panybox does not own, manufacture, store, ship, or sell products listed by Sellers.
- Panybox does not process payments on behalf of Sellers and does not provide logistics services.
- Integrations with third-party services (e.g., payment gateways, couriers) are provided “as available”; third-party terms apply.
6. Seller Responsibilities
- Accuracy. Provide truthful product information, pricing, stock levels, and policies.
- Payments. Connect and manage your own payment accounts (e.g., Stripe, PayPal, Flutterwave, Paystack) and bear all fees, chargebacks, refunds, and disputes.
- Logistics. Handle packaging, shipping, delivery, and customs compliance; provide tracking and timely support.
- Customer Service. Manage returns, refunds, warranties, and complaints directly with Buyers.
- Compliance & Taxes. Comply with applicable laws (product safety, labeling, IP, sanctions/export) and collect/remit all taxes and duties.
- Prohibited Items. Do not list illegal, counterfeit, dangerous, restricted, or otherwise prohibited goods.
- Security. Maintain the security of your store, API keys, and integrations; promptly remediate vulnerabilities.
7. Buyer Responsibilities
- Provide accurate payment, identity, and delivery details.
- Understand that each purchase is a contract with the Seller, not with Panybox.
- Engage directly with Sellers on returns, refunds, and warranties.
- Do not engage in fraud, abuse, or chargebacks without cause.
8. Payments & Fees
Payments are processed directly between Buyers and Sellers via third-party providers selected by the Seller. Panybox does not hold, control, or guarantee payments or payouts. Panybox may charge Sellers subscription, transaction, or service fees per the Seller’s plan; unless expressly stated otherwise, such fees are non-refundable. Sellers authorize Panybox to invoice or charge the designated payment method for Platform fees.
9. Disputes Between Buyers & Sellers
Disputes regarding products, delivery, refunds, or chargebacks are between Buyers and Sellers. Panybox may, but is not obligated to, provide discretionary mediation; Panybox does not issue refunds or replacements for Seller transactions.
10. Acceptable Use
- No unlawful, deceptive, harmful, harassing, or defamatory activity.
- No infringement, misappropriation, or violation of third-party rights.
- No malware, scraping without permission, rate-limit bypassing, reverse engineering, or platform interference.
- No attempts to access another user’s data or the Platform’s non-public systems.
11. Advertising & Ownership
<Panybox reserves the right to place ads, sponsored content, and promotions on any domain, subdomain, or application. Seller cannot place ads on the platform except when permission is explicitely granted by Panybox. All related revenues are the exclusive property of Panybox. Sellers, buyers, and third parties are not entitled to any share.
12. Intellectual Property & Takedown
- Panybox owns the Platform software, design, brand assets, and all associated IP.
- Sellers own their store content but grant Panybox the licenses described in Section 2.
- Panybox may remove or disable content alleged to be infringing, counterfeit, unsafe, or unlawful, at its discretion.
13. Termination, Suspension & Service Changes
Panybox may, in its sole discretion and without prior notice, suspend, restrict, or terminate any account, storefront, subdomain, listing, feature, or access to all or part of the Platform at any time, for any reason or no reason, including violations of these Terms, suspected fraud or abuse, legal or regulatory risk, non-payment of fees, or actions that may harm Panybox or other users.
Panybox may discontinue, modify, or deprecate any service, feature, integration, domain, or subdomain at any time without obligation to notify Buyers, Sellers, or third parties. Upon suspension or termination, access to the Platform may cease immediately, and Panybox has no obligation to maintain, store, export, or provide any Platform Data or user data, except as required by law. You are responsible for maintaining your own backups of Seller Content and transaction records.
14. Privacy & Data Protection
Panybox processes personal data in accordance with its Privacy Policy. Sellers act as independent controllers of any Buyer data they collect via their stores and must comply with applicable data protection laws. You must implement appropriate security measures for your data and systems.
15. Third-Party Services
Your use of third-party services (payment gateways, couriers, analytics, DNS, custom domains) is governed by those providers’ terms. Panybox is not responsible for third-party availability, security, accuracy, or performance.
16. Indemnification
You agree to defend, indemnify, and hold harmless Panybox, its affiliates, and their directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your content, products, or conduct; (b) your use of the Platform; (c) your violation of these Terms or applicable law; (d) any transaction between you and another user; or (e) your use of third-party services.
17. Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PANYBOX DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PANYBOX SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. PANYBOX’S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO PANYBOX (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
19. Force Majeure
Panybox shall not be liable for any delay or failure to perform due to events beyond its reasonable control, including acts of God, labor disputes, war, terrorism, epidemics, governmental actions, failures of suppliers or providers, power or internet outages, or other force majeure events.
20. Governing Law & Venue
These Terms are governed by the laws of Nigeria, without regard to conflict of law principles. You agree to the exclusive jurisdiction and venue of the courts of Nigeria for any disputes arising out of or relating to these Terms or the Platform.
21. Changes to Terms
We may update these Terms from time to time. Material changes will be posted on the Platform or communicated via your account email. Changes are effective upon posting unless stated otherwise. Your continued use of the Platform after changes constitutes acceptance.
22. Miscellaneous
- No Waiver. Failure to enforce any provision is not a waiver.
- Severability. If any provision is invalid, the remainder remains in effect.
- Assignment. You may not assign these Terms without Panybox’s consent; Panybox may assign freely.
- Entire Agreement. These Terms constitute the entire agreement between you and Panybox regarding the Platform.
- Notices. We may provide notices via the Platform, email, or your dashboard. You consent to electronic communications.
- Survival. Sections intended to survive (including 2, 8, 10–19, 20, 22) shall survive termination.
